January 2008 – October 2009: Solicitor (Tax Litigation Group), McGrigors
My work involved advising on the merits of clients’ cases (both in relation to law and evidence), preparing witness statements and other evidence and the general conduct of litigation. Disputes I acted on include statutory appeals to the Special Commissioners and appeal by way of judicial review to the High Court. The subject matter of disputes included personal taxation, the taxation of trusts, corporate taxation, the national minimum wage, charities taxation and the compatibility of UK tax legislation with EC law. I also advised in relation to charity law, including on the governance of charities (including where previously errors have occurred) and on the incorporation of charities.

March 2006 – January 2008: Associate Solicitor (Tax Department), Linklaters
Tax Based Structured Finance: advising leading companies on innovative structures.
Corporate (public): advising underwriters and issuers on IPOs and advising companies on restructurings and takeovers. In addition to general advice my work included drafting and negotiating documents such as underwriting agreements. I was also part of the team that writes the Linklaters Corporate Tax Manual.
Corporate (private): advising potential investors in private equity funds and advising general partners on the structure of funds they wish to establish, including the role of the investment manager or advisor and the remuneration of the executives. I also advised on private acquisitions.
General Finance: advising on the tax implications of syndicated loans and the issue of debt securities and negotiating the associated documentation, such as loan agreements.

Trainee Solicitor, Linklaters (Qualified 1 March 2006)
My training contract consisted of four six-month seats in the following departments:
Trusts: I worked on a variety of private client and trusts work (including charitable trusts and private trusts). My work included analysis of case law and other legal research and drafting documents (including wills, trust documentation, legal opinions and instructions to and notes of consultation with Counsel). Much of my work involved advising on personal taxation, often in relation to non-domiciled but UK resident individuals.
Tax: I worked on a range of matters including corporate tax, finance tax, real estate tax, contentious tax and employment tax. My work included, analysis of case law and other legal research and drafting documents (including legal opinions, tax paragraphs and instructions to and notes of consultation with Counsel).
Banking: I worked on general loan finance and also tax based structured finance. My work on tax based structured finance transactions helped develop my understanding of the commercial issues on such transactions, including security and capital adequacy. I also gained an understanding of the “mechanics” of the documents used on such transactions.
Investment Management Group: I worked on the establishment of private equity funds. My work included drafting documents (including limited partnership agreements, minutes, legal opinions), research (into both legal and commercial issues) and working on closings.
